These Terms and Conditions (“Terms”) govern your use of the website getlotus.co (the “Site”) and your engagement of services from Lotus Tax & Advisory, A Professional Corporation (“Lotus,” “we,” “us,” or “our”). By accessing the Site, submitting the contact form, or engaging our services, you agree to these Terms.

1. Services
Lotus provides tax preparation, accounting, and advisory services to individuals and businesses. The specific scope of any engagement — including deliverables, fees, and timelines — will be governed by a separate engagement letter signed by the client prior to the commencement of services. In the event of a conflict between these Terms and a signed engagement letter, the engagement letter controls.
Nothing on this Site constitutes tax, legal, financial, or accounting advice. Content on the Site is for general informational purposes only and should not be relied upon as a substitute for personalized professional advice specific to your situation.

2. No Attorney-Client or Advisory Relationship from Site Use
Browsing the Site, submitting the contact form, or booking a consultation does not, by itself, create a client relationship with Lotus. A client relationship is formed only upon mutual execution of an engagement letter and, where applicable, receipt of any required retainer or deposit.

3. Client Portal Use
If you are provided access to our secure client portal:
You are responsible for maintaining the confidentiality of your login credentials
You agree to upload only information relevant to your engagement and to promptly notify us of any suspected unauthorized access to your account
We reserve the right to suspend portal access if we suspect misuse, fraud, or a security incident

4. Accuracy of Information Provided
You agree to provide complete, accurate, and timely information necessary for us to perform services. You remain solely responsible for the accuracy and completeness of information you provide. Lotus is not responsible for errors, penalties, or interest resulting from incomplete, inaccurate, or late information supplied by you.

5. Fees and Payment
Fees for services are set out separately in your engagement letter or fee schedule. 6. Filing Deadlines and Extensions

Lotus is not liable for penalties or interest resulting from late-provided client information, government processing delays, or circumstances outside our reasonable control. Where appropriate, we may file extensions on your behalf, which extend the filing deadline but do not extend the deadline to pay any taxes owed.

7. Limitation of Liability
To the fullest extent permitted by law, Lotus’s total liability arising out of or related to services provided shall not exceed the total fees paid by the client for the specific service giving rise to the claim. Lotus is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or IRS penalties arising from factors outside our control (including inaccurate or incomplete client-provided information).
Nothing in these Terms limits liability for gross negligence, willful misconduct, or any liability that cannot be limited under applicable state accountancy or professional conduct rules.

8. Confidentiality
We treat all client information as confidential in accordance with applicable professional standards (including AICPA Code of Professional Conduct, where applicable) and IRC Section 7216, and will not disclose it except as described in our Privacy Policy or as required by law.

9. Intellectual Property
All content on the Site — including text, graphics, logos, and design — is the property of Lotus Tax & Advisory, A Professional Corporation and may not be reproduced, distributed, or used without our prior written consent.

10. Third-Party Links and Tools
The Site or portal may reference or link to third-party tools (e.g., scheduling software, e-signature providers, payment processors). Lotus is not responsible for the content, security, or practices of third-party services, which are governed by their own terms and privacy policies.

11. Termination of Engagement
Either party may terminate an engagement as set out in the applicable engagement letter. Upon termination, Lotus will provide client-owned records in accordance with professional standards and applicable state law, subject to payment of any outstanding fees for work performed.

12. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Orange County, California. 13. Changes to These Terms
